Led by Vivian Breier, Co-Chair of the Corporate & Securities Department, with assistance from Mark Frimmel, Of Counsel in the Real Estate and Corporate Departments, and Ashley Cohen, Corporate Associate, the team structured and launched a $50 million private placement designed to fund a company formed to acquire, manage, race, and breed thoroughbred racehorses.
Through a sophisticated Private Placement Memorandum (PPM) prepared pursuant to Rule 506 of Regulation D of the Securities Act of 1933, the corporate team successfully brought the client’s vision to market—allowing investors to participate in a traditionally passion-driven industry through a regulated investment vehicle.
The results were both immediate and impressive: two of the first thoroughbreds acquired by the company went on to win their races at the 2025 Breeders’ Cup World Championships in Del Mar, California, delivering excitement and tangible success for the company’s investors.
“This transaction exemplifies what we do best—taking a client’s entrepreneurial idea and transforming it into a compliant, monetizable, and investor-ready business. It’s a perfect example of how legal innovation and business creativity can intersect.”
– Vivian Breier
“We’re proud to help our clients not only pursue their passion but also build sustainable investment opportunities around it. The result is a model that blends sport, strategy, and sophisticated corporate structuring.”
– Mark Frimmel
