Jill Braunstein is a Partner at Abrams Fensterman, LLP and Co‑Chair of the firm’s Corporate and Securities Law Practice Group, based in the Lake Success office.
Ms. Braunstein is a corporate transactional attorney who advises business owners, privately held companies, entrepreneurs, and investors across the full lifecycle of their businesses—from growth and capital formation to succession planning, ownership transitions, and exit transactions. Her practice focuses on middle‑market mergers and acquisitions, business succession planning, and serving as outside general counsel to privately held companies.
She regularly structures and negotiates complex transactions, including buy‑side and sell‑side M&A, equity and debt financings, strategic partnerships, recapitalizations, restructurings, and platform and add‑on acquisitions. Ms. Braunstein advises clients on corporate governance, succession and continuity planning, executive compensation, employment arrangements, risk management, and strategic decision‑making.
Ms. Braunstein drafts and negotiates a broad range of corporate and commercial agreements, including operating and shareholder agreements, buy‑sell arrangements, joint venture agreements, employment and consulting agreements, equity incentive plans, and sales, licensing, manufacturing, and distribution agreements. She works closely with business owners and investors to ensure that legal structures align with long‑term business, tax, and personal planning goals.
Ms. Braunstein represents clients across a broad range of industries, including healthcare, life sciences and pharmaceuticals, technology, financial services, manufacturing, construction, professional and business services, consumer products, hospitality and entertainment, and food and beverage.
She also has significant experience advising public and private companies and investors on securities and capital markets matters, including private placements and SEC compliance, and counsels clients on applicable SEC, NYSE, and NASDAQ considerations in connection with financings and other complex corporate transactions.
Ms. Braunstein received her J.D. from Fordham University School of Law and her B.A., summa cum laude, in Economics and Business from The George Washington University. Ms. Braunstein is admitted to practice in the State of New York.
